Ozon's Redomiciliation: A Stepping Stone Towards Moscow Exchange Listing

Ozon, the leading e-commerce platform in Russia, is undergoing a significant transformation. The company is currently in the process of redomiciliation, a legal manoeuvre that involves transferring its legal address from one jurisdiction to another without liquidation. Upon completion of this process, Ozon will be registered in the Kaliningrad region as MCCPJSC "Ozon".

The redomiciliation decision was made by Ozon's shareholders at the end of 2024. The procedure is planned to be completed by the end of this year, and during this process, Ozon's Global Depository Receipts (GDRs) will be converted 1:1 into shares of MCCPJSC. Once the conversion is complete, the shares of MCCPJSC are expected to start trading on the Moscow Exchange in the first quotation list.

However, the exact impact of this move on the trading of Ozon's shares and GDRs on the Moscow Exchange is yet to be determined. It is not clear how the redomiciliation to the Kaliningrad region's special administrative district will affect the listing status, regulatory treatment, or liquidity of these securities.

In a recent development, it was reported that the suspension of trading on the Moscow Exchange due to Ozon's redomiciliation could last 4-5 weeks. This suspension, if implemented, would temporarily halt the trading of OZON shares.

Despite the uncertainty surrounding the redomiciliation's impact on trading, Ozon's financial performance remains strong. The company's gross profit for the first quarter of 2025 increased by 119% compared to the same period last year, reaching 47.2 billion rubles. Additionally, the net cash flow from operating activities for Ozon in the first quarter of 2025 increased by 30.9 billion rubles, reaching 32.5 billion rubles.

On July 30, 2025, at 21:00 Moscow time, the price of OZON shares on the Moscow Exchange was 4021 rubles. However, it's worth noting that there was a daily price drop for OZON shares of -5.63%.
