Newmont Announces Tender Offers for Up to $2 Billion in Notes
In a significant move, Newmont Corporation, the only gold producer listed in the S&P 500 Index, has announced tender offers to purchase up to $2 billion of certain outstanding series of notes. The tender offers cover multiple senior notes across maturities from 2029 to 2042.
The total consideration for each series of notes is calculated based on a combination of a fixed spread, the reference yield, and a U.S. Treasury reference security. Notably, an early tender payment of $50 per $1,000 principal amount is offered for notes tendered before the early tender date. The U.S. Treasury Reference Securities used for each series correspond to Treasury securities with maturities closest to each note maturity year to properly benchmark the offer price.
Newmont received successful early tender results as of August 8, 2025, with aggregate principal amounts tendered equal to or exceeding the $2 billion cap. The company expects to accept for purchase all validly tendered notes up to the cap without a minimum tender condition.
The tender offers are divided into Pool 1 and Pool 2 offers. Holders of the Notes are urged to review the Offer to Purchase for the detailed terms of the Tender Offers and the procedures for tendering their Notes. D.F.
