Mahindra secures a major controlling interest in SML Isuzu, with a 59% share acquisition
Mahindra Group has made a significant move in the automotive industry by acquiring SML Isuzu in April 2025 for ₹650 per share, totaling ₹555 crore. This strategic move aims to establish a strong presence in the 3.5 tonne and above commercial vehicle segment, where Mahindra currently has about a 3% market share.
The acquisition has led to changes in leadership at SML Isuzu. Vinod Sahay has been appointed as the Executive Chairman, effective August 3, 2025, while Dr. Venkat Srinivas takes on the role of the Executive Director & Chief Executive Officer, effective August 1, 2025.
SML Isuzu, a company under the Mahindra Group, produces trucks, buses, and construction equipment. It currently holds a market share of 54.2% in the sub-3.5 tonne LCV segment. The goal is to double SML Isuzu's market share to 6% in the 3.5 tonne and above segment.
In the long run, Mahindra aims to increase SML Isuzu's market share to 10-12% by FY2031 and 20% by FY2036. This ambitious goal is part of Mahindra's plan to become a dominant player across the entire commercial vehicle market.
Mahindra's portfolio of upcoming cars includes the Mahindra XUV500 2025, Mahindra e20 NXT, Mahindra Thar E, Mahindra XUV700, Mahindra Thar, and Mahindra Scorpio Classic.
As part of the acquisition, Mahindra will launch a mandatory open offer for acquisition of up to 26% stake from eligible public shareholders of SML Isuzu.
In summary, Mahindra's strategic aim after acquiring SML Isuzu is to strengthen and expand its presence in the commercial vehicle segment, particularly in heavier vehicles above 3.5 tonnes. By leveraging SML Isuzu's legacy, brand, and pan-India distribution network, Mahindra aims to become a full-range, formidable player in the CV market. The immediate target is to double current share to 6%, with long-term goals of reaching 10-12% by 2031 and surpassing 20% by 2036.
Mahindra's extensive portfolio now includes finance and transportation-related ventures, as the acquisition of SML Isuzu in the automotive industry has given them a strong foothold in the production of trucks, buses, and construction equipment. With a vision to make Mahindra a dominant player across all commercial vehicle segments, they plan to double SML Isuzu's market share in the 3.5 tonne segment, aiming for 10-12% by FY2031 and surpassing 20% by FY2036.
