Italian company Guala Closures' Indian division acquires unit from Oricon Enterprises
Guala Closures India, an Italian global leader in the closure solutions industry, has announced the acquisition of Oricon Enterprises' metal closure unit through a slump sale valued at approximately Rs 42.50 crores (~$4.85 million). This move is aimed at expanding Guala Closures' local production capabilities of metal closures such as crown corks and ROPP closures in India.
The acquisition will strengthen Guala Closures' presence in India and the Asia-Pacific region, particularly targeting sectors like spirits, beer, and soft drinks. The deal also marks a significant step towards growing the company's premium aluminum closure offerings with anti-counterfeiting features for the Indian spirits market.
Oricon Enterprises, on the other hand, has decided to divest its metal closure unit as part of a strategic intent to capitalize its core business and explore new growth opportunities. This move aligns with Oricon focusing on other areas such as real estate and investment activities.
The metal closure unit, which contributed roughly 20.75% (Rs 110.5 crores) to Oricon Enterprises' overall business, generated approximately Rs 110.5 crores in revenue. The enterprise value for the acquired unit was set at Rs 42.50 crores, with the transaction subject to customary closing conditions and regulatory approvals, expected to close in Q4 2025.
It's worth noting that Oricon’s packaging division, Oriental Containers, had generated €12 million (about Rs 122 crores) revenue in FY25, serving over 100 customers in 20+ countries. This indicates that the metal closures unit has international market relevance.
For Guala Closures India, the acquisition enhances their product portfolio and local production capacity in a growing Indian market for beer, spirits, and soft drink packaging solutions. It also expands their industrial and commercial presence regionally, strengthening premium and anti-counterfeiting closure offerings.
For Oricon Enterprises, the sale allows them to streamline and focus on their core businesses, improving capital allocation and exploring new growth avenues outside metal closures.
This transaction represents a strategic expansion by Guala Closures into India’s metal closure market and a business realignment by Oricon Enterprises to optimize its business portfolio. The acquisition supports Guala Closures' growth strategy and local manufacturing expansion started in 2024 with their crown closures division.
Singhi Advisors advised Guala Closures India on the acquisition of Oricon's unit, while Oricon Enterprises was not advised by Singhi Advisors on the sale of its metal closure unit.
In 2024, Guala Closures Group recorded over €830 million in revenue, and the company has over 37 production facilities in more than 100 countries. Oricon Enterprises, on the other hand, is involved in manufacturing, trading, and sale of metal crown seals, roll-on pilfer-proof closures, collapsible tubes, and real estate, trading, and investment activities.
Shares of Oricon Enterprises ended at 54.29 rupees on the Bombay Stock Exchange, up 1.4%.
