Maspex Group Strengthens Position in Wine Market with Acquisition of Purcari Wineries
Maspex Group, one of the largest food and beverage producers in Central and Eastern Europe, has taken a significant step in its long-term strategy to consolidate and expand its presence in the premium beverage segment. The company has acquired Purcari Wineries, a leading wine producer in the region, through a loan provided by PKO Bank Polski S.A. Varsovia, the bank's Romanian branch.
Purcari Wineries, the largest exporter of bottled wine from Moldova, manages over 2000 hectares of vineyards and operates six wineries across Moldova, Romania, and Bulgaria. This acquisition aligns with Maspex Group's strategy to strengthen its position in the premium beverage segment, particularly in Romania, where it has been active for nearly 30 years.
The financing for the acquisition was structured as a voluntary takeover and governed by Polish law. This complex cross-border financing transaction required the bank to ensure compliance with both Polish and Romanian regulations, demonstrating PKO Bank Polski's capability in handling such transactions. Norton Rose Fulbright, a global law firm, advised PKO Bank Polski on this financing, with a Warsaw-based legal team led by Partner Grzegorz Dyczkowski.
The Warsaw-based legal team, including associate Michał Rutkowski and lawyer Natalia Rybak, was responsible for ensuring compliance with both Polish and Romanian legal frameworks and regulatory requirements. The acquisition was approved by the Romanian Financial Supervisory Authority.
Jacek Smardzewski, a member of the legal team, led the advisory on the loan structure and regulatory compliance. Grzegorz Dyczkowski, head of the Warsaw office and the firm's Warsaw banking and finance practice, supervised the team.
The acquisition of Purcari Wineries marks a significant step in Maspex Group's long-term strategy. Purcari Wineries is currently the second-largest market for Maspex Group after Poland. The acquisition will not only strengthen Maspex Group's position in the Romanian market but also in Central and Eastern Europe as a whole.
